TERMS OF SERVICE

Effective Date: June 12, 2026

1. Introduction

These Terms of Service (“Terms”) govern access to and use of the services, websites, applications, platforms, systems, and technology operated by parcelrun Pty Ltd (ABN 98 665 950 201) (“parcelrun”, “we”, “our”, or “us”).

By accessing, using, booking, purchasing, registering for, or otherwise engaging with any parcelrun service, you agree to be bound by these Terms.

These Terms apply to:

  • The parcelrun website
  • The parcelrun Customer App
  • The parcelrun Courier App
  • Booking and tracking portals
  • Delivery services
  • Returns services
  • Forward fulfilment services
  • Warehousing and inventory services
  • First-mile services
  • Mid-mile transport and linehaul services
  • Last-mile delivery services
  • Technology and logistics platforms
  • Reporting and analytics services
  • Any future services operated by parcelrun

2. Application of Terms

These Terms apply to all use of parcelrun’s services unless otherwise expressly agreed in writing.

Where parcelrun and a customer have entered into a separate written agreement, statement of work, service agreement, master services agreement, rate card, order form, fulfilment agreement, commercial agreement, or other negotiated contract, the terms of that agreement will prevail to the extent of any inconsistency.

These Terms will continue to apply to any matters not expressly addressed in the relevant agreement.

3. Services

Parcelrun may provide, either directly or through approved partners:

  • Same-day delivery
  • Next-day delivery
  • Scheduled delivery
  • First-mile services
  • Mid-mile transport and linehaul services
  • Last-mile delivery services
  • Returns management
  • Reverse logistics
  • Forward fulfilment
  • Warehousing and inventory handling
  • Retail distribution
  • Micro-hub and consolidation services
  • Customer collection and pickup services
  • Fleet and courier management services
  • Technology and platform services
  • Customer applications
  • Courier applications
  • Booking and tracking services
  • Reporting and analytics services
  • Brand activation logistics
  • Custom logistics and supply chain solutions

Parcelrun may determine, at its sole discretion, the most appropriate delivery method, route, vehicle, rider, courier, carrier, fulfilment location, micro-hub, collection point, technology platform, subcontractor, or operational process.

Parcelrun does not guarantee the availability of any particular service.

4. Customer Obligations

Customers must:

  • Provide accurate, complete and current information;
  • Comply with all applicable laws;
  • Ensure goods are lawful for transport and handling;
  • Maintain all required licences, permits and approvals;
  • Cooperate with reasonable operational requests;
  • Ensure delivery addresses, recipient details and contact information remain accurate;
  • Comply with parcelrun policies and procedures.

Customers remain solely responsible for all information submitted through parcelrun systems.

5. Delivery Services

Delivery windows, estimated delivery times and service commitments are estimates only unless expressly agreed in writing.

Parcelrun does not guarantee:

  • Same-day delivery
  • Next-day delivery
  • Specific delivery times
  • Uninterrupted service availability
  • Delivery outcomes affected by circumstances beyond parcelrun’s reasonable control

Delivery performance may be affected by:

  • Traffic conditions
  • Weather events
  • Road closures
  • Building access restrictions
  • Security procedures
  • Recipient availability
  • Public events
  • Industrial action
  • Third-party carrier performance
  • Technology outages
  • Infrastructure disruptions
  • Force majeure events

6. Safe Drop Authority

Where:

  • A sender authorises safe drop
  • A recipient authorises safe drop
  • Delivery instructions permit authority to leave

Parcelrun may leave goods in a location reasonably considered safe.

Delivery shall be deemed completed once goods are delivered in accordance with those instructions and supporting delivery records are created.

Risk in the goods passes to the recipient upon completion of delivery.

7. Proof of Delivery

Parcelrun records may constitute proof of delivery, including:

  • Signature capture
  • Photographic evidence
  • GPS records
  • Scan events
  • Delivery timestamps
  • Tracking records
  • Courier declarations
  • Device records
  • Operational system records

Parcelrun’s records are prima facie evidence of service completion.

8. Packaging and Labelling

Customers are responsible for:

  • Appropriate packaging
  • Product protection
  • Correct labelling
  • Accurate consignment information
  • Product suitability for transport

Parcelrun is not responsible for loss, damage, delay, spoilage or additional handling resulting from inadequate packaging, incorrect labelling or inaccurate information supplied by the customer.

9. Prohibited and Restricted Items

Customers must not submit:

  • Dangerous goods
  • Illegal substances
  • Weapons
  • Explosives
  • Hazardous materials
  • Controlled substances
  • Cash
  • Precious metals
  • Live animals
  • Counterfeit goods
  • Any item prohibited under applicable law or parcelrun policy

Parcelrun may refuse, isolate, inspect, return, dispose of or report prohibited items without liability.

Customers indemnify parcelrun against any loss arising from prohibited, undeclared or misdeclared goods.

10. Returns and Fulfilment Services

Parcelrun may provide returns, reverse logistics and fulfilment services.

Customers remain responsible for:

  • Inventory accuracy
  • SKU accuracy
  • Product information
  • Stock records
  • Inventory reconciliation
  • Instructions supplied to parcelrun

Parcelrun is not responsible for discrepancies arising from customer systems, customer data, supplier information or third-party providers.

11. Fees and Payment

Customers must pay all fees, charges, surcharges, levies and applicable taxes when due.

Parcelrun may require:

  • Prepayment
  • Credit card payment
  • Direct debit arrangements
  • Security deposits
  • Approved credit terms

Parcelrun may vary rates, pricing, surcharges, fuel levies, congestion charges, peak-period charges and operational fees on reasonable notice.

12. Late Payment

If payment is overdue, parcelrun may:

  • Suspend services
  • Refuse new bookings
  • Cancel existing bookings
  • Withdraw credit facilities
  • Place accounts on stop-service
  • Charge interest permitted by law
  • Recover reasonable collection, administrative and legal costs

13. Service Refusal, Suspension and Cancellation

Parcelrun may refuse, suspend, delay, modify or cancel services where:

  • Payment is overdue
  • Credit limits are exceeded
  • Fraud is suspected
  • Dangerous goods are identified
  • Goods are improperly packaged
  • Safety risks exist
  • Regulatory concerns arise
  • Operational capacity constraints exist
  • Severe weather impacts operations
  • Road closures or emergencies occur
  • Staff, contractors or couriers are subjected to abuse, threats or harassment; Technology, carrier or infrastructure failures occur
  • Parcelrun reasonably determines that proceeding would be unsafe, unlawful, impractical or commercially unreasonable

Parcelrun shall not be liable for any loss arising from exercising these rights.

14. Technology and Operational Changes

Parcelrun may introduce, amend, remove, replace or modify:

  • Technology platforms
  • Software systems
  • Applications
  • APIs
  • Workflows
  • Operational procedures
  • Delivery methods
  • Carrier relationships
  • Fulfilment processes
  • Business processes

from time to time without requiring amendment of these Terms.

15. Intellectual Property

All intellectual property rights in parcelrun systems, software, technology, branding, documentation, content, processes and materials remain the property of parcelrun or its licensors.

Nothing in these Terms transfers ownership of intellectual property to a customer.

16. Data and Analytics

Customers retain ownership of their proprietary business information.

Parcelrun owns all rights in:

  • Operational data
  • Routing data
  • Tracking data
  • Performance metrics
  • Delivery analytics
  • Aggregated data
  • De-identified data
  • Service optimisation data

Parcelrun may use aggregated and de-identified information for:

  • Service delivery
  • Reporting
  • Benchmarking
  • Analytics
  • Product development
  • Machine learning
  • Operational improvement
  • Business planning

17. Confidentiality

Each party must keep confidential information confidential and may only use such information for purposes connected with the services.

Confidentiality obligations survive termination of the relationship.

18. Privacy

Use of parcelrun services is subject to the parcelrun Privacy Policy.

19. Non-Solicitation

Customers must not directly or indirectly solicit, engage, recruit or induce:

  • Parcelrun employees
  • Contractors
  • Riders
  • Drivers
  • Consultants
  • Personnel introduced by parcelrun

for a period of twelve (12) months following cessation of services.

20. Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any rights, guarantees, warranties or remedies which cannot lawfully be excluded, restricted or modified under applicable law, including the Australian Consumer Law.

To the maximum extent permitted by law, parcelrun excludes all liability for:

  • Loss of profit
  • Loss of revenue
  • Loss of sales
  • Loss of contracts
  • Loss of goodwill
  • Loss of reputation
  • Loss of anticipated savings
  • Business interruption
  • Loss of data
  • Consequential loss
  • Special loss
  • Indirect loss
  • Punitive or exemplary damages

Where liability cannot be excluded by law, parcelrun’s liability is limited, at its option and to the extent permitted by law, to: Re-supplying the relevant services; or Paying the cost of having the relevant services supplied again.

21. Indemnity

The customer indemnifies and holds harmless parcelrun, its directors, officers, employees, contractors, agents and affiliates from and against any claims, liabilities, losses, damages, costs, expenses, penalties and legal fees arising from or in connection with:

  • Any breach of these Terms
  • Any breach of law
  • Dangerous goods
  • Prohibited items
  • Incorrect, incomplete or misleading information supplied by the customer
  • Packaging failures
  • Product defects
  • Intellectual property infringement
  • Injury, death, property damage or environmental damage caused by the customer’s goods
  • Fraudulent, negligent or unlawful conduct
  • Third-party claims arising from the customer’s acts or omissions

This indemnity survives termination.

22. Force Majeure

Parcelrun is not liable for delays, interruptions or failures resulting from events beyond its reasonable control, including:

  • Weather events
  • Floods
  • Fires
  • Pandemics
  • Industrial action
  • Telecommunications failures
  • Cloud outages
  • Cyber incidents
  • Carrier failures
  • Government actions
  • Public emergencies
  • Infrastructure disruptions
  • Utility failures

23. Termination

Parcelrun may suspend or terminate services immediately where:

  • Payment remains overdue
  • Fraud is suspected
  • Safety concerns arise
  • Regulatory issues arise
  • The customer materially breaches these Terms

Termination does not affect accrued rights or obligations.

24. Entire Agreement

These Terms, together with the parcelrun Privacy Policy and any policies referenced within these Terms, constitute the entire agreement between parcelrun and the customer in relation to the services described herein.

Nothing in these Terms limits or replaces any separate written agreement entered into between parcelrun and a customer. Where such an agreement exists, that agreement will prevail to the extent of any inconsistency.

25. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

26. Changes to these Terms

Parcelrun may update these Terms from time to time.

Updated versions will be published on the parcelrun website and become effective upon publication.

Continued use of parcelrun services constitutes acceptance of the updated Terms.
